Models and taxonomy: the competing ownership and operating approaches

Six provisional models separate who owns the vehicle, what it buys, how long it intends to hold, and whether the technology is shared. Most disagreements in the public debate are really disagreements about which model is being discussed.

Separate the axes first

The research framework insists on separating dimensions that headline lists tend to blur:

AxisValues seen in the research
Entity roleInvestor · holding company · operating platform · subsidiary · target · software vendor · technology partner
OwnershipControl buyout · minority stake · joint venture · partnership · no ownership
Asset acquiredService business · software product · digital brand · licensed practice · customer book · partial business
CapitalPermanent balance sheet · evergreen vehicle · closed-end fund · acquisition SPV · public company · unknown
EngineeringShared platform · embedded engineers · vertical stack · external vendor · unknown

An organization can occupy several roles. A capital provider is not automatically an acquirer; a partnership is not an acquisition; an acquired company is not a separate holdco. The Alorica–Crescendo announcement, for example, is a partnership, not a deal.

The six provisional models

1. AI-enabled services roll-up. Buys people-heavy services firms and applies AI after acquisition. The most common pattern. Variants differ on sponsor type and whether the platform is shared. Examples: Long Lake (HOA and community management, later corporate travel), Titan (MSPs), Crescendo (customer experience), Dwelly (UK lettings), Multiplier (professional services).

2. AI-native software holding company. Acquires niche vertical software and rebuilds it on a shared stack; closer to Constellation Software than to a services roll-up. Example: Beacon Software, whose founder letter states permanent ownership 1Company reported. Comparators: Constellation, Tiny, Valsoft.

3. Scaled-enterprise refounding. Concentrates on a few large operating companies rather than many small ones. Sequence took a minority stake in BankSouth 1Company reported and agreed to take The Baldwin Group private at roughly $7.7bn enterprise value 1Company reported. Long Lake agreed to acquire Amex GBT for about $6.3bn 1Independent reporting. Both transactions were announced, not completed, at the research cutoff.

4. Permanent holding company with vertical platforms. A holding company with a stated indefinite horizon and sector platforms that each acquire firms. Thrive Holdings describes permanent ownership as strategy rather than legal guarantee 12Company reported and reports owning more than 70 businesses 1Company reported across accounting (Current), IT services (Shield) and a built-environment platform. Counting rules matter: businesses owned, firms in a platform and partner companies are different denominators.

5. Venture creation and sponsor-builders. Investors who incubate and fund the operating companies. General Catalyst allocates $1.5bn of Fund XII to its Creation strategy 1Company reported and names Accrual, Beacon, Crescendo, Dwelly, Eudia, Integral, Long Lake and Titan as examples 1Company reported. Thrive Capital, 8VC and Khosla play similar roles. Their statements about portfolio companies are attributed to the portfolio company as investor reported.

6. Succession and acquisition-capital platforms. Finance or facilitate small-business acquisitions by operators and employees (Teamshares, Mainshares, CapitalPad, Kodiak). Related through the same target businesses but not necessarily AI-led; tracked as adjacent.

A seventh group — AI vendors selling into the same workflows — is not a holding-company model but is kept in the taxonomy as the counterfactual.

Why the taxonomy is provisional

Descriptions change. Lonsdale characterised Sequence in July 2025 as acquiring IT-services businesses 1Disputed / unreconciled; Sequence's September 2026 letter describes banking and insurance. The research stores this as a dated difference in descriptions, not as evidence of a pivot. Similarly, General Catalyst groups Accrual with its roll-ups, while the research classifies Accrual as accounting-workflow software with a product carve-out from Puzzle rather than practice acquisitions 1Analysis 1Company reported. Both descriptions are retained.

Each model has a topic dashboard listing the companies tagged to it, the key evidence and latest reading.
